1. Agreement to Terms

By accessing or using PaymentPulse ("the Service"), operated by Blackbox Labs SRL, a company registered in Romania (CUI: RO33784095, Reg. No: J/39/560/2014, registered office: B-dul Unirii nr 59, bl 59, et 5, ap 50, Focsani, Vrancea, Romania) ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service.

2. Description of Service

PaymentPulse is a software-as-a-service platform that helps freelancers, consultants, and small businesses manage invoicing, payment reminders, expense tracking, time tracking, and financial reporting. The Service includes web-based tools, email notifications, and integrations with third-party payment processors.

PaymentPulse is not a payment institution, financial advisor, tax advisor, or accounting firm. The Service does not hold, transfer, or process funds on your behalf. All payment processing is handled by third-party providers (e.g., Stripe). Financial reports, tax estimates, and analytics are provided for informational purposes only and do not constitute professional financial, tax, or legal advice.

3. Account Registration

To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

4. Subscription & Billing

PaymentPulse offers free and paid subscription plans. Paid plans are billed on a monthly recurring basis through Stripe. You authorize us to charge your payment method for the applicable fees. Prices may change with 30 days' notice. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

5. Right of Withdrawal

In accordance with OUG 34/2014 and EU Directive 2011/83/EU, if you are a consumer, you have the right to withdraw from a paid subscription within 14 days of purchase without giving any reason. To exercise this right, contact us at legal@paymentpulse.io.

By starting to use the paid Service immediately upon subscription, you expressly acknowledge that you may lose the right of withdrawal once the Service has been fully performed during the withdrawal period.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Transmit harmful code, spam, or malicious content
Attempt to access other users' accounts or data
Reverse-engineer, decompile, or attempt to extract the source code
Exceed reasonable usage limits or abuse API access
Resell or redistribute the Service without authorization

7. Intellectual Property

The Service, including all software, design, text, and graphics, is owned by Blackbox Labs SRL and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain ownership of all data you upload to the Service.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. We process personal data in accordance with applicable data protection laws, including GDPR. You may request data export or account deletion at any time through your account settings. If you store your clients' personal data using the Service, our Data Processing Agreement governs our obligations as a data processor.

9. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), Plaid (bank connections), and Resend (email delivery). Your use of these integrations is subject to their respective terms. We are not responsible for the availability or conduct of third-party services.

10. Limitation of Liability

To the maximum extent permitted by law, Blackbox Labs SRL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure. PaymentPulse is not a financial advisor, tax advisor, or accounting firm — all reports, estimates, and calculations are for informational purposes only and should not be relied upon for financial or tax decisions.

12. Termination

We may suspend or terminate your account if you violate these Terms or engage in conduct that is harmful to other users or the Service. Upon termination, your right to use the Service ceases immediately. You may export your data before termination.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Service Availability

We target 99.9% uptime for the PaymentPulse platform, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 24 hours in advance via email or in-app notification. We do not guarantee uninterrupted service and shall not be liable for any downtime or service interruptions.

15. Cancellation & Refund Policy

If you cancel your subscription, you will retain access to your current plan features until the end of your billing period. No pro-rata refunds are provided for partial billing periods. For EU/EEA consumers exercising the 14-day withdrawal right under OUG 34/2014 and EU Directive 2011/83/EU, a full refund will be issued within 14 days of receiving the withdrawal request.

16. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, cyberattacks, pandemics, or utility outages. The affected party shall notify the other party promptly and use reasonable efforts to resume performance.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Indemnification

You agree to indemnify and hold harmless Blackbox Labs SRL, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation, including but not limited to tax filing errors, misuse of payment reminder communications, or violations of anti-spam legislation.

19. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of Romania. Any disputes arising from or in connection with these Terms shall first be attempted to be resolved amicably. If no resolution is reached within 30 days, the dispute shall be submitted to the competent courts of Focsani, Vrancea County, Romania.

If you are a consumer within the European Union, you may also use the EU Online Dispute Resolution platform. For consumer protection complaints in Romania, you may contact the National Authority for Consumer Protection (ANPC) at anpc.ro.

20. Entire Agreement

These Terms, together with the Privacy Policy, Data Processing Agreement, and any plan-specific terms, constitute the entire agreement between you and Blackbox Labs SRL regarding the use of PaymentPulse and supersede all prior agreements, understandings, and representations.
